- Lead negotiations of complex domestic and international business transactions, including mergers and acquisitions, asset purchases, secured lending, strategic partnerships, and joint ventures.
- Direct all aspects of deal, including internal coordination and outside counsel oversight.
Commercial Contract Outsourcing
- Negotiate, draft, review, and advise on the full range of domestic and international sales, master service, teaming, marketing, procurement, and vendor agreements.
- Develop and automate form contracts; streamline sales negotiation process.
- Train in-house attorneys and sales force in contract negotiation techniques.
Diligence and Risk Assessment
- Evaluate opportunities to acquire companies and form partnerships in the US and abroad.
- Manage diligence efficiently in connection with sales, acquisitions, and investments.
- Identify and quantify acquisition and partnership risks.
- Manage legal aspects of integration of companies, assets, policies, and employees, both domestically and across multiple foreign jurisdictions.
